Terms of Service

These Terms of Service ("Terms") govern your use of the RE:SOURCE website at resource.works and the RE:SOURCE desktop application (together, the "Service"), operated by Cilogic Tech ("Cilogic Tech", "we", "us", or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Eligibility

You must be at least 18 years old to use the Service. By using it, you confirm that you are 18 or older and able to enter into these Terms.

Private beta

RE:SOURCE is currently offered as an invite-only private beta and is provided free of charge during the beta. Beta features may change, and we may modify, suspend, or discontinue all or part of the Service at any time. The beta is provided for evaluation and may not be as reliable as a generally available release.

Your accounts and connected services

You are responsible for maintaining the confidentiality of your credentials and for activity under your account. When you connect third-party accounts (such as email or calendar) to the App, you confirm that you are authorized to do so and that you will comply with the terms of those third-party services. The App carries out outward actions only after you approve them, and you are responsible for the actions you approve.

Acceptable use

You agree not to:

  • Use the Service in violation of any applicable law or third-party rights.
  • Attempt to gain unauthorized access to the Service or its related systems, or interfere with their operation or security.
  • Reverse engineer, resell, or use the Service to build a competing product, except to the extent this restriction is prohibited by law.
  • Use the Service to send unlawful, harmful, or abusive content.

Intellectual property

The Service, including its software, design, and content provided by us, is owned by Cilogic Tech and its licensors and is protected by intellectual property laws. You keep all rights to your own data and content; these Terms do not transfer ownership of your content to us.

Feedback

If you send us feedback or suggestions, you grant us a non-exclusive, royalty-free license to use them to improve the Service, without obligation to you.

Third-party services

The Service may link to or work with third-party services we do not control. We are not responsible for those services, and your use of them is governed by their own terms.

Disclaimer

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements. This is especially relevant during the beta.

Limitation of liability

To the maximum extent permitted by law, Cilogic Tech and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Because the Service is currently provided free of charge during the beta, our total liability for any claim relating to the Service will not exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Termination

We may suspend or terminate your access to the Service at any time, with or without notice, including if you breach these Terms. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-law rules. If you have a dispute, you agree to first try to resolve it informally by contacting us.

Changes to these Terms

We may modify these Terms from time to time. If a change is material, we will make reasonable efforts to provide notice before it takes effect. By continuing to use the Service after changes become effective, you agree to the revised Terms.

Language

We may provide translations of these Terms for convenience. If there is any conflict, the English version prevails.

General

If any provision of these Terms is found unenforceable, the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and Cilogic Tech regarding the Service.
